1) Acceptance of terms
By creating an account, clicking "I agree," or using tradeautobill.com or the app (the "Service"), you agree to these Terms. If you use the Service on behalf of a business, you confirm you're authorised to bind that business. Business use only—the Service is not intended for consumers.
2) The Service
TradeAutoBill is a lightweight invoicing and PDF/email dispatch tool with optional automations (e.g., via n8n), hosted links and webhooks. We may add, change, or remove features at any time. Beta or experimental features are provided "as is".
3) Your account
You must keep your credentials confidential and maintain accurate account info. You're responsible for all activity under your account. We may require 2FA for security. Tell us immediately about unauthorised use.
4) Plans, fees, and renewal
Plans & limits. Free and paid plans have usage limits (e.g., invoices/month, storage, features). Current limits appear in-app or on our pricing page. We may throttle or restrict the Service if you exceed plan limits.
Billing. Subscriptions are billed in advance and auto-renew monthly/annually until cancelled. You authorise us (or our payment provider) to charge all applicable fees, taxes and adjustments using your saved payment method.
Price changes. We may change prices or plan features with prior notice; changes apply on your next renewal.
Cancellation. Cancel anytime; your plan runs to the end of the current term. We don't offer pro-rata refunds unless required by law.
Taxes. Fees are exclusive of VAT and other taxes, which you're responsible for.
5) Acceptable use
You will not:
a) break the law, violate third-party rights, or attempt to reverse engineer or bypass security;
b) send spam, unlawful, harmful, or misleading content;
c) upload malware or interfere with the Service's operation;
d) use the Service to process special category data or payment card data unless we explicitly agree in writing;
e) resell, frame, or operate a competing service using our Service without consent.
You must comply with PECR/anti-spam laws for emails you trigger via the Service (consent or other lawful basis, valid sender info, easy unsubscribe, etc.).
6) Your content & data roles
Your Content. You retain all rights to content you submit (e.g., customer details, line items, PDFs). You grant us a worldwide, non-exclusive licence to host, process, transmit and display Your Content solely to provide and improve the Service.
Controller/processor. For Your Content relating to your customers, you are the controller. We act as your processor where applicable. Our Privacy Policy and a Data Processing Addendum (DPA) (if in place) form part of these Terms.
You promise you have the necessary rights and lawful basis to process Your Content and to instruct us to process it.
7) Third-party services
The Service may rely on or integrate with third-party providers (e.g., hosting/CDN, database, email delivery, automation, payments). We don't control third-party services and aren't responsible for their availability or performance. Your use of them may be subject to their terms. Critical vendor changes or incidents may affect the Service.
8) Email deliverability
We'll attempt to send emails (e.g., invoices) via our provider, but we can't guarantee inbox delivery or timing. You're responsible for verifying delivery where it's business-critical.
9) Availability and support
We use reasonable endeavours to keep the Service available, but no SLA is provided unless agreed in writing. We may suspend for maintenance, security, or legal reasons. Basic support is via email at Info@tradeautobill.com.
10) Data protection & transfers
We implement appropriate technical and organisational measures. Where data is transferred outside the UK/EEA, we use lawful safeguards (e.g., UK IDTA/UK Addendum, adequacy, or the UK-US Data Bridge). See our Privacy Policy for details.
11) Records & retention
You are responsible for your legal and tax obligations (e.g., invoice content, record-keeping, HMRC rules). We provide export tools where available, but you should maintain your own backups. After termination we may retain limited data as required by law or for legitimate business purposes (see Privacy Policy).
12) Intellectual property
We (and our licensors) own all rights in the Service, including software, designs, and trademarks. No rights are granted except as expressly stated. You won't remove proprietary notices or attempt to create derivative works of the Service.
13) Feedback
If you give us suggestions or feedback, we may use them without restriction or payment.
14) Confidentiality
Each party may access the other's non-public information ("Confidential Information"). The receiving party will use it only for performing under these Terms and protect it with reasonable care. Exclusions: information that is public, independently developed, or lawfully received from another source. We may disclose if required by law, after notice where lawful.
15) Warranties & disclaimers
You warrant you have the authority to enter these Terms and that Your Content and use of the Service are lawful. The Service is provided "as is" and "as available". We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't provide accounting, tax, or legal advice.
16) Limitation of liability
Nothing limits liability for death/personal injury caused by negligence, fraud/fraudulent misrepresentation, or other liability that cannot be limited under law.
Subject to that:
We won't be liable for indirect, incidental, special, consequential, punitive or loss of profits/revenue, loss of data, or business interruption.
Our total aggregate liability arising out of or relating to the Service in any 12-month period is capped at the greater of £100 or the fees you paid to us in that 12-month period (for Free plan users, £100).
17) Indemnity
You will defend and indemnify us against claims, damages, costs and liabilities arising from (a) Your Content, (b) your breach of these Terms or law, or (c) your use of the Service in violation of third-party rights.
18) Suspension & termination
We may suspend or terminate your access immediately if you breach these Terms, risk to security, non-payment, or as required by law. You may terminate by cancelling your subscription. Upon termination, your licence ends and we may delete or restrict access to Your Content after a reasonable period, subject to legal retention requirements.
19) Changes to these Terms
We may update these Terms from time to time. If changes are material, we'll give reasonable notice (e.g., in-app or email). Continued use after the effective date means you accept the changes.
20) Export controls & sanctions
You represent you're not on any UK, US, or EU sanctions list and won't use the Service in sanctioned countries or for prohibited purposes.
21) Governing law & venue
These Terms and any dispute are governed by the laws of England & Wales. The courts of England have exclusive jurisdiction (London venue), except we may seek injunctive relief in any jurisdiction.
22) Miscellaneous
Order of precedence. If there's a conflict: an executed Order/Form or MSA (if any) prevails over these Terms; then the DPA; then these Terms; then the Privacy Policy.
No waiver / severability. Failure to enforce isn't a waiver. If a clause is unenforceable, the rest stays in effect.
Assignment. You may not assign without our consent; we may assign to an affiliate or in a reorganisation/sale.
No partnership. Nothing creates a partnership, agency, or employment relationship.
